Strategy Now Trades Below the Bitcoin It Holds

The company that invented the Bitcoin-treasury playbook just slipped below its own holdings. Strategy, formerly MicroStrategy, owns about 845,000 Bitcoin, the largest corporate stash in the world, yet its stock now trades at roughly 0.86 times the value of that Bitcoin. The premium that powered the whole model is gone, at least for now.

This matters because the premium was the magic. For years, Strategy's stock traded well above the value of its Bitcoin, which let it issue shares at a premium, buy more Bitcoin, and lift the value per share, a flywheel that dozens of copycats have since tried to run. When the stock trades below the Bitcoin it holds, that flywheel stalls. Issuing shares now would destroy value, not create it.

The scale is still enormous. Strategy holds around 845,000 Bitcoin, roughly 4 percent of all the Bitcoin that will ever exist, against about 6.75 billion dollars of debt and more than 15 billion in preferred stock, including the STRC instrument that pays an 11.5 percent dividend. The balance sheet is not in immediate danger, since Bitcoin still covers the debt many times over, but the equity has lost the glow it traded on.

This is a warning for the whole copycat sector. A wave of companies adopted the buy-Bitcoin-with-stock model in the last two years, many with weaker balance sheets and higher leverage than Strategy. When the pioneer trades under NAV in a soft, fearful market, the late, leveraged imitators are the ones at real risk, because they relied on a premium that has evaporated. The model works on the way up. It strains on the way down.

The next test is the preferred stack and the Bitcoin price. Strategy's preferred shares carry fixed dividends that have to be paid regardless of Bitcoin's price, which is manageable now but heavier if Bitcoin keeps sliding. A deeper drop would pressure the most leveraged treasury companies first and could force selling, the opposite of the steady accumulation that has supported the market. For now it is stress, not crisis. The line between them is the Bitcoin price.

So the original Bitcoin-treasury company is trading like its Bitcoin is worth more than its stock, a quiet but telling shift. Strategy is still standing on a huge pile of Bitcoin, the premium that built the model is gone, and the copycats are the ones to watch. The flywheel runs both ways. Mind the leverage.
